1.Acceptance of Terms

These Terms of Service ("Terms") form a legally binding agreement between you and Prospect Flow AI ("we", "us", "our") governing your access to and use of the Prospect Flow AI website, application, and related services (the "Service").

By creating an account, starting a free trial, purchasing a subscription, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Prospect Flow AI and supersede any prior agreements or understandings relating to the Service.

2.Eligibility

You must be at least 18 years old to create an account or use the Service. By using Prospect Flow AI you represent and warrant that you are 18 or older and legally able to enter into a binding contract.

If you use the Service on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.

3.Description of the Service

Prospect Flow AI is a software platform for network marketers and independent representatives that helps you discover potential prospects, organise contacts in a pipeline, set goals, build a vision board, and receive AI-assisted coaching for outreach conversations.

The Service provides tools, suggestions, and insights only. Prospect Flow AI does not guarantee business results, sales, income, lead conversions, or any specific outcome from your use of the platform.

We may add, modify, or remove features at any time as the product evolves.

4.User Accounts

To use most parts of the Service you must create an account with accurate, current, and complete information and keep it up to date.

You are responsible for maintaining the security and confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@prospectflowai.app if you suspect unauthorised access.

Accounts are for individual use. You may not share, sell, or transfer your account or login details to another person without our written permission.

5.Subscription Plans & Billing

Paid plans are offered on a monthly, yearly, or one-time lifetime basis as described on our pricing page. Prices are shown at the point of purchase and may change with notice for future billing periods.

Subscription fees are billed in advance and renew automatically at the end of each billing period unless you cancel before the renewal date.

Payments are processed by our third-party payment provider. By subscribing you authorise recurring charges to your chosen payment method until you cancel.

You may cancel at any time from your account settings. Cancellation stops future renewals and you retain access until the end of the current paid period. Cancellation does not automatically entitle you to a refund unless required by law.

If a payment fails, we may retry the charge and may suspend access until payment is successfully collected.

6.Free Trial

We may offer a free trial of the Service. Trial length, limits, and eligibility are described at signup and may change at any time.

Unless you cancel before the trial ends, your subscription will begin automatically and your payment method (if provided) will be charged at the then-current rate.

Free trials are intended for genuine evaluation. We may withdraw or refuse a trial where we reasonably believe it is being abused, including repeated trials created by the same person.

7.Acceptable Use

You agree that you will not:

• Use the Service for any unlawful, abusive, fraudulent, deceptive, harassing, or spam-related activity.
• Send unsolicited bulk messages or outreach that violates applicable anti-spam or privacy law.
• Upload or transmit malicious code, or attempt to disrupt, overload, or gain unauthorised access to the Service or its infrastructure.
• Reverse engineer, decompile, copy, resell, sublicense, scrape, or otherwise exploit the platform or its data without our prior written permission.
• Use automated systems to access the Service in a way that exceeds normal human usage or circumvents plan limits.
• Misrepresent your identity, your affiliation, or the origin of any message sent using insights from the Service.

8.AI-Generated Content Disclaimer

Parts of the Service use artificial intelligence to generate prospect suggestions, summaries, message drafts, scores, and recommendations. AI output is probabilistic and may be incomplete, outdated, biased, or simply incorrect.

AI-generated content is provided for guidance only and is not professional, legal, financial, or business advice. You must independently review and verify any AI output before relying on it or sending it to another person.

You remain fully responsible for everything you send, publish, or act upon based on the Service.

9.Prospect & Public Data Disclaimer

Prospect information surfaced by the Service may be derived from publicly available sources or generated by AI. Publicly available business information changes over time and may be inaccurate, outdated, or attributed to the wrong person or business.

You are responsible for verifying the accuracy of any prospect information before relying on it, contacting a person, or making a business decision.

We do not warrant that any prospect is interested in your offer, available for contact, or accurately described.

10.User Responsibilities

You are solely responsible for ensuring that your outreach, marketing, and data handling comply with all applicable laws and regulations, including the GDPR, UK GDPR, CAN-SPAM, CASL, PECR, and any other anti-spam, telemarketing, or privacy rules that apply to you or your recipients.

Where you upload or store personal data of third parties in the Service, you act as the controller of that data and confirm you have a lawful basis for processing it.

You are responsible for honouring opt-out, unsubscribe, and deletion requests you receive from the people you contact.

You are responsible for complying with the policies and compliance rules of any company or opportunity you represent.

11.Intellectual Property

The Service, including its software, design, branding, text, graphics, and underlying technology, is owned by Prospect Flow AI or its licensors and is protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own business purposes while your account is in good standing.

You retain ownership of the content you upload, such as prospect notes, goals, and vision board images. You grant us a licence to host, process, and display that content solely to operate and improve the Service.

You may not use our name, logo, or branding without prior written permission.

12.Third-Party Integrations

The Service relies on third-party providers for hosting, authentication, payments, email delivery, and AI processing, and may link to or integrate with other third-party tools.

Your use of a third-party service is governed by that provider's own terms and privacy policy. We are not responsible for the availability, accuracy, security, or practices of third-party services.

13.Service Availability

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. Access may be affected by maintenance, updates, third-party outages, or events outside our control.

We may modify, suspend, or discontinue any part of the Service at any time. Where reasonably practicable we will give advance notice of material changes.

14.Account Suspension & Termination

We may suspend or terminate your account, with or without notice, if you breach these Terms, use the Service unlawfully, create risk or legal exposure for us, or fail to pay applicable fees.

You may close your account at any time by cancelling your subscription and contacting support.

On termination your right to use the Service ends immediately. We may delete your data after a reasonable period in line with our Privacy Policy.

15.Refund Policy

Subscription fees are generally non-refundable. Cancelling prevents future renewals but does not automatically entitle you to a refund for the current or previous billing periods unless a refund is required by applicable law.

If you believe you were charged in error, contact support@prospectflowai.app and we will review your case in good faith.

16.Limitation of Liability

To the maximum extent permitted by law, Prospect Flow AI and its officers, employees, and suppliers are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profit, revenue, business, goodwill, opportunity, or data arising from or related to your use of the Service.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service is limited to the amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

17.Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We do not warrant that the Service will meet your requirements, that results or data will be accurate or reliable, or that defects will be corrected.

18.Indemnification

You agree to indemnify, defend, and hold harmless Prospect Flow AI and its officers, employees, and suppliers from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your content, your outreach activity, or your breach of these Terms or of applicable law.

19.Privacy Policy

Our Privacy Policy explains how we collect, use, disclose, and protect personal information. It forms part of these Terms, and by using the Service you also agree to the practices described in it.

20.Changes to These Terms

We may update these Terms from time to time to reflect changes to the Service, our business, or legal requirements. The "Last updated" date at the top of this page shows when the latest version took effect.

Where changes are material we will make reasonable efforts to notify you. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

21.Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. The courts of England and Wales have exclusive jurisdiction over any dispute arising from these Terms or the Service, except where mandatory local consumer law grants you the right to bring proceedings elsewhere.

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
